What is a PT PMA, and who is it for?

A PT PMA (Perseroan Terbatas Penanaman Modal Asing) is a type of Indonesian limited liability company that allows foreign ownership. It’s the legal entity required for foreign individuals or companies who want to operate and generate revenue in Indonesia. A PT PMA can engage in most business sectors, though some industries have restrictions or require special licenses.

How long does it take to set up a company?

On average, setting up a PT PMA takes 4–8 weeks, depending on the complexity of your business activities, licensing requirements, and how quickly you provide the necessary documents. This timeline includes company name approval, deed of establishment, Ministry of Law approval, tax registration, and obtaining relevant business licenses

Will I need a local partner?

In most cases, you do not need a local partner for a PT PMA, as it can be 100% foreign-owned in many business sectors. However, some industries are partially restricted to foreign ownership, in which case you may need an Indonesian partner who holds a percentage of shares, according to the Negative Investment List or Positive Investment List regulations.

What taxes will I need to pay?

A PT PMA is subject to several taxes in Indonesia, including:

  • Value Added Tax (VAT): 11% on most goods and services (unless exempt).
  • Withholding Taxes: On certain payments such as dividends, royalties, and services.
  • Other sector-specific taxes: Depending on your industry.

Foreign owners are also responsible for complying with annual financial reporting and tax filing requirements.
